Ramssol to expand human capital ecosystem with strategic acquisitions

KUALA LUMPUR: Ramssol Group Bhd has proposed to acquire 60% equity in INNIO Holding Sdn Bhd and 49% equity in Agensi Pekerjaan INNIO Sdn Bhd for an aggregate purchase consideration of RM14.4mil.

In a statement, the people solutions and licensing technology provider said the acquisition is to be satisfied in cash and the issuance of new shares in the company.

According to Ramssol, the target companies provide licensed talent sourcing, recruitment and manpower outsourcing capabilities that complement Ramssol’s existing PeopleTech and digital human resources capabilities. 

INNIO Holding is the holding company of INNIO Group Sdn Bhd and CariJob Holding Sdn Bhd.

Ramssol said the deal comes with a profit guarantee of RM3mil for the financial year ending Dec 31, 2026, and RM5mil for FY27, representing 67% year-on-year earnings growth.

The companies' growth trajectory is underpinned by an outstanding order book of RM39.3mil.

"Over the years, we have built strong capabilities in digital HR solutions, automation, HCM, workforce digitalisation, and AI-powered technologies. 

"With the addition of INNIO and API into our Group, we are now expanding our reach across the entire workforce value chain to include talent sourcing and recruitment to manpower outsourcing using AI-powered workforce analytics," said Ramssol managing director Datuk Wira Cllement Tan.
