Alpha IVF raises stake in Singapore unit to 96.5% after RM3.57mil rights subscription


KUALA LUMPUR: Alpha IVF Group Bhd has increased its stake in its Singapore-based subsidiary, Alpha International Women's Specialists (S) Pte Ltd (AIWSS), to 96.53% following its subscription for additional shares under a rights issue (RI).

In a filing with Bursa Malaysia, the fertility specialist said it subscribed for 114.77 million new ordinary shares in AIWSS at S$0.01 per share, for a total consideration of S$1.15mil (RM3.57mil).

Alpha IVF said the subscription was satisfied by using internally generated funds.

The subscription raises Alpha IVF's shareholding in AIWSS from 76.51% to 96.53% of the enlarged share capital.

AIWSS operates a women's specialist centre in Singapore, providing fertility treatments, women's healthcare and medical consultancy services.

“The RI subscription will enable AIWSS to fund its working capital requirements, operational expenditure and maintain sustainable cash flow to align with the strategic objectives of Alpha IVF and its subsidiary(ies),” it said.

It added that the exercise is expected to contribute positively to its profitability and future earnings per share, but is not expected to have a material impact on its earnings, net assets or gearing for the financial year ending May 31, 2027.

AIWSS's June 12, 2026 rights issue offered 150 million new shares, of which 35.08 million remained unsubscribed after the offer closed.
