Datasonic to acquire two AIMAX units for RM15.12mil in debt settlement deal


PETALING JAYA: Datasonic Group Bhd has entered into two inter-conditional share sale agreements (SSAs) to acquire 100% equity in IF Security Solution Sdn Bhd (IFSS) and Premiumway Development Sdn Bhd (PDSB) from AIMAX Group for RM15.12mil.

In a filing with Bursa Malaysia, Datasonic (formerly NexG Bhd) stated that under the deal its will acquire IFSS for RM1mil from AIMAX Bhd (formerly Hong Seng Consolidated Bhd) and PDSB for RM14.12mil from AIMAX Assets Sdn Bhd.

The purchase consideration and PDSB’s RM36.8mil shareholders' advance will be fully offset against an existing RM51.98mil net debt owed by AIMAX’s subsidiary, AIMAX Healthcare Sdn Bhd, to Datasonic’s money lending arm, MMR Capital Sdn Bhd.

Following the contra arrangement, AIMAX will settle the remaining balance of RM571,000 in cash within six months of completion.

Through the acquisition of PDSB, Datasonic gains control of two adjoining industrial properties in Section 51A, Petaling Jaya, valued at RM61.2mil upon lease extension.

The properties have been earmarked for IFSS to establish a secure smart card personalisation centre in collaboration with technology partners.

Datasonic noted the move guarantees recovery of its outstanding loan while expanding its footprint in payment card and SIM card personalisation services, capitalizing on Malaysia’s growing digital banking and e-payment landscape.

The Petaling Jaya properties meanwhile hold long-term development prospects due to ongoing local rezoning plans for the area. The acquisition is expected to be completed in the fourth quarter of 2026.
