KUALA LUMPUR: Impact Capital Holdings Bhd has signed an underwriting agreement with Public Investment Bank Bhd (PIVB) for its initial public offering (IPO) en route to a listing on the ACE Market of Bursa Malaysia.
The information and communications technology (ICT) solutions provider, in a statement, said its IPO will comprise a public issue of 96.69 million new shares and an offer for sale of 28.62 million existing shares.
Of the new shares, 24 million shares, representing 5% of its enlarged issued share capital, will be offered to the Malaysian public, while 16 million shares, or 3.33%, will be allocated to eligible directors, employees and other persons who have contributed to the group.
Another 56.69 million shares, or 11.81% of the enlarged share capital, will be placed out to selected investors.
Meanwhile, the offer for sale will comprise 28.62 million existing shares, representing 5.96% of the enlarged share capital, to be offered to selected investors via private placement.
Under the agreement, PIVB will underwrite 40 million shares comprising the 24 million shares offered to the Malaysian public and 16 million shares allocated to eligible persons.
Impact Capital managing director Winston Chai Fung Chun said the listing would provide the group with a platform to expand its operational footprint, strengthen its workforce and business development capabilities, as well as enhance its technological capabilities.

Impact Capital has more than 20 years of experience in the ICT industry, providing integration solutions for critical infrastructure including telecommunications infrastructure, enterprise networks, data centres, security systems and digital twin technology.
It also supplies ICT hardware and software and provides maintenance, support and managed network services.
Proceeds from the IPO will be used to expand the group's offices, workforce and business development initiatives, enhance its technology capabilities and fund working capital and listing expenses.
PIVB is the principal adviser, sponsor, sole underwriter and sole placement agent for the IPO.
