Jentayu Sustainables to sell hospital unit for RM1.75mil

KUALA LUMPUR: Jentayu Sustainables Bhd (JSB) is disposing of its wholly owned subsidiary, Ultimate Forte Sdn Bhd (UFSB), which owns and operates Ohana Specialist Hospital, to Lourdes Medical Centre Sdn Bhd for RM1.75mil in cash.

“The proposed disposal will be part of JSB’s restructuring and rationalisation exercise of the group’s operations. This divestment would allow the company to focus on its core business of renewable energy,” JSB said in a filing with Bursa Malaysia.

UFSB recorded revenue of RM7.42mil for the financial year ended June 30, 2025, but posted a net loss of RM2.05mil.

The unit had accumulated losses of RM16.02mil and net liabilities of RM7.22mil.

Under the deal, JSB will assume RM1.18mil of UFSB's trade and other creditor liabilities incurred up to April 20, 2026.

The company acquired UFSB for RM18mil on Aug 24, 2021.

JSB expects to book an estimated gain on disposal of RM2.37mil. The RM1.75 million proceeds will be used to settle amounts due from UFSB by June 30, 2027.

Barring any unforeseen circumstances, the proposed disposal is expected to be completed by the end of July 2026.
