KSL shareholders get SC exemption from mandatory takeover offer


KUALA LUMPUR: KSL Holdings Bhd said the Securities Commission Malaysia (SC) has approved an exemption for a group of its shareholders from having to undertake a mandatory offer for the remaining shares in the company.

In a filing with Bursa Malaysia, KSL said the exemption was granted to Success Lineage Sdn Bhd (SLSB) and eight individuals, namely Khoo Cheng Hai @ Ku Cheng Hai, Ku Hwa Seng, Ku Tien Sek, Ku Wa Chong, Khoo Keng Ghiap, Khoo Lee Feng, Ku Ek Mei and Ku Keng Yaw.

KSL said the exemption relates to the transfer of the individuals’ shareholdings in Premiere Sector Sdn Bhd, Noble Heritage Sdn Bhd and Gorgeous Horizon Sdn Bhd to SLSB.

“The transfer of shares to SLSB is undertaken as part of the establishment of a single family office,” it said.

Following the transfer, SLSB has a deemed interest in KSL shares held by the three companies.

KSL stressed that the exercise does not involve any transfer of KSL shares held by Premiere Sector, Noble Heritage and Gorgeous Horizon.

The KSL shares will remain registered in the names of the three companies.

The exemption was granted under subparagraph 4.13(3)(a) of the Rules on Take-overs, Mergers and Compulsory Acquisitions and is subject to any terms and conditions stipulated by the SC in its approval letter dated Sept 3, 2026.
