PETALING JAYA: MISC Bhd
confirmed it is in preliminary talks with Yinson
Legacy Sdn Bhd (YLSB), its affiliates and the Employees Provident Fund (EPF) on a potential privatisation of Yinson Holdings Bhd via a scheme of arrangement under Section 366 of the Companies Act 2016.
In a filing with Bursa Malaysia, MISC noted the proposal, if pursued, would see YLSB and its concert parties acquire all remaining shares in the FPSO operator while EPF retains its current effective stake.
An indicative offer price of RM2.35 per Yinson share is being considered, though this remains subject to change pending due diligence and commercial viability assessments.
MISC noted that discussions are ongoing and no firm intention has been established. The scheme would require definitive agreements, regulatory approvals, and shareholder consent.
Both counters ended lower on Friday. MISC fell 6.6%, or 56 sen, to RM7.92, while Yinson declined 3.15%, or seven sen, to RM2.15.
