Pensonic shareholder initiates EGM to remove group CEO


PETALING JAYA: A shareholder of Pensonic Holdings Bhd has requisitioned an extraordinary general meeting (EGM) to seek the removal of the company's group chief executive officer (CEO) and director, Datuk Chew Chuon Jin.

In a Bursa Malaysia filing today, the company said RHB Nominees (Tempatan) Sdn Bhd, acting on the instructions of Sphere Corporation Sdn Bhd, had exercised the rights attached to 26 million Pensonic shares held through a pledged securities account to requisition the EGM and issue the required special notice.

The proposed EGM will seek shareholders' approval for three ordinary resolutions.

The first resolution seeks to remove Chew as a director pursuant to Section 206 of the Companies Act 2016. The second proposes that he cease to hold office as group CEO with immediate effect upon the passing of the first resolution.

The third resolution seeks to authorise the board of directors and company secretary to take all necessary steps to implement the resolutions and complete the required statutory and regulatory filings.

The company said the requisition notice and special notice were received by its board of directors and company secretary today.
