Pertama Digital to acquire 80% stake in both D-Ron Singapore, D-Ron Malaysia for RM105.65mil


KUALA LUMPUR: Pertama Digital Bhd will acquire 80 per cent equity interest in both D-Ron Singapore Ltd and D-Ron Malaysia Sdn Bhd for RM105.65 million.

In a filing with Bursa Malaysia today, Pertama Digital said it will acquire the 80 per cent stakes in D-Ron Singapore for S$30.41 million (RM100.66 million) and D-Ron Malaysia for RM4.99 million.

"The completion of the sale and purchase of sale shares shall take place on a date falling 14 days from the unconditional date or on such other extension date as the parties may mutually agree in writing,” it said.

Pertama Digital said the proposed acquisition forms part of the group’s long-term business strategy and will form part of the company’s proposed regularisation plan.

"The board expects the proposed acquisition to be earnings accretive and to continuously deliver sustainable value to shareholders of Pertama in the medium and long term,” it noted.

Pertama Digital added that the proposed investment would not affect the company’s issued and paid-up share capital or substantial shareholders’ shareholdings as it does not involve the issuance of new shares. - Bernama
