Liability and resolutions

A director may be a party to a resolution that was passed at a meeting. However, if it contains offensive content which is circulated, he could be exposed to liability.

IT IS generally believed that if a person is merely a director of a company, he cannot be held personally liable for acts performed in his role as a director because what is done is on behalf of the company.
