Ramssol makes human capital-related acquisitions worth RM14.4mil

PETALING JAYA: Ramssol Group Bhd has proposed to acquire stakes in three human capital-related businesses for a total consideration of RM14.4mil, as the company seeks to broaden its workforce solutions offerings beyond its existing PeopleTech and digital human resources (HR) capabilities.

In a statement, the group said it plans to acquire a 60% equity interest in INNIO Holding Sdn Bhd, the holding company of INNIO Group Sdn Bhd and CariJob Holding Sdn Bhd, as well as a 49% stake in Agensi Pekerjaan INNIO Sdn Bhd. The purchase consideration will be settled through a combination of cash and the issuance of new Ramssol shares.

The acquiree companies are involved in licensed talent sourcing, recruitment and manpower outsourcing services. Ramssol said the proposed acquisitions would complement its existing portfolio of digital HR solutions and strengthen its position as an integrated workforce solutions provider.

Following the acquisitions, the group expects to offer services spanning talent sourcing, recruitment, manpower outsourcing, payroll, earned wage access, upskilling and artificial intelligence-enabled workforce analytics.

The transaction includes a profit guarantee of RM3mil for the financial year ending Dec 31, 2026 (FY26) and RM5mil for FY27, bringing the cumulative guaranteed profit to RM8mil over the two-year period.

Ramssol said the acquirees are supported by an outstanding order book of RM39.3mil. Based on the average profit guarantee, the acquisitions are valued at an implied price-to-earnings multiple of six times.

Group managing director Datuk Wira Ts Cllement Tan said these represent a strategic step in expanding the company’s presence across the workforce value chain.

“The acquisitions mark a milestone in Ramssol’s evolution as we accelerate beyond our PeopleTech roots into a fully integrated, technology-driven human capital ecosystem,” he said.
