KUALA LUMPUR: Oasis Harvest Corp Bhd
has proposed to acquire an 80% stake in Contagious (Malaysia) Sdn Bhd for RM900,000 cash from Jubilee Holdings Sdn Bhd.
In a filing with Bursa Malaysia, the food and beverage company said Contagious is an event management and public relations firm established in 2010, and has worked with clients including Celcom, Malaysia Airlines and DRB-Hicom.
It reported revenue of RM3.52mil and profit after tax (PAT) of RM421,519 for the 11-month period ended Nov 30, 2025.
Jubilee Holdings has provided a one-year profit guarantee, requiring Contagious to achieve a minimum audited PAT of RM350,000 for the financial year ending Dec 31, 2026.
Oasis said the profit guarantee implies a minimum contribution of RM280,000 in PAT to the group for the financial year ending Dec 31, 2026, based on its planned 80% stake in Contagious.
It said the RM900,000 purchase consideration will be funded internally, noting that the group held RM2.19mil in cash and equivalents as at Sept 30, 2025.
