Elite Cosmo renews effort to remove Ire-Tex directors

KUALA LUMPUR: Ire-Tex Corp Bhd’s substantial shareholder Elite Cosmo Group Ltd is making another attempt to revamp the board of the protective packaging product maker by serving a special notice for a new EGM.

The six resolutions being proposed are the same resolutions that were tabled and passed at an April 27 EGM called by Elite Cosmo but which recently were ruled as null and void by the Kuala Lumpur High Court.

In a filing with Bursa Malaysia on Thursday, Ire-Tex said Elite Cosmo - a shareholder owning 16.2% equity interest - and another shareholder Tan Yeang Tze gave it a notice asking that an EGM be convened within 14 days.

The resolutions proposed include the removal of chairman Datuk Seri Mohd Shariff Omar, executive director Chin Wui Choong, director Mak Lin Kum and director Ahmad Amryn Abd Malek.

The only existing directors not named are Ire-Tex co-founder/deputy chairman Datuk Donald Yap Tatt Keat and Kong Hon Kay.

Elite Cosmo also seeks to appoint Hamdan Mohd Nor and Raja Hizad Raja Kamarulzaman.  

If the company failed to hold the EGM, Elite Cosmo plans to go ahead and convene such a meeting to consider the said resolutions.

Ire-Tex said it was seeking legal advice on the matter.
