KUALA LUMPUR: Telekom Malaysia Bhd’s (TM) unit Mobikom Sdn Bhd has subscribed to RM495mil convertible medium term notes (CMTNs) which allows it to boost further its shareholding in Webe Digital Sdn Bhd (webe) (formerly Packet One Networks (M) Sdn Bhd).
In February, Mobikom had raised its stake in the digital mobility services provider from 55.3% to 72.9% following an early conversion of the first-tranche CMTNs issued by webe. Subject to the conversion of these second-tranche notes into shares, the move will bring TM’s stake (via Mobikom) to 82%.
In a filing with Bursa Malaysia on Wednesday, TM said Mobikom had subscribed to webe’s latest issuance of debt notes during the day.
“The proceeds of this CMTN subscription will be utilised to fund the implementation of webe’s business plan,” it said.
With the increase in TM’s stake to 82% on a fully diluted basis, Green Packet Bhd (via Packet One Sdn Bhd) and SK Telecom Co Ltd now own 13.2% and 4.8% in webe, respectively, under the terms of the investment agreement signed in Marcb 2014.
However, TM’s shareholding in the ordinary equity of webe remains at 72.9%, subject to further conversion of the CMTNs and/or exchange and conversion of the exchangeable medium term notes (EMTNs) into webe’s shares.
TM became webe’s majority shareholder in September 2014 with a 55.3% stake by initially investing RM350mil via the subscription of ordinary shares. The remaining 44.7% was shared between Green Packet (31.1%) and South Korea-based SK Telecom (13.6%).
In September last year, Mobikom subscribed to webe’s first tranche issuance of CMTNs valued at RM622.54mil and Green Packet’s RM37.45mil EMTNs. This brought Green Packet’s and SK Telecom’s shareholding on a fully diluted basis to 18.2% and 6.7% respectively.
