PETALING JAYA: RHB Bank Bhd, which assumes the listing status of RHB Capital Bhd (RHB Cap) on Tuesday, has released the compositions of the bank’s board of directors as well as its audit committee and nominating and remuneration committee.
RHB Bank said in a stock exchange filing that the board would be headed by chairman Tan Sri Azlan Zainol, who was appointed the chairman of RHB Bank in July 2005 and RHB Cap on June 14.
Azlan was previously the Employees Provident Fund chief executive officer (CEO) until his retirement in April 2013. He has also served as the managing director (MD) of AmBank Bhd and AmFinance Bhd.
Tan Sri Saw Choo Boon, who was appointed to the board of RHB Cap in June 2010, was appointed to the bank’s board as the senior independent non-executive director this June. He is also chairman of the nominating & remuneration committee.
Saw was previously chairman of Shell Malaysia as well as vice presidentb for business development (Asia-Pacific). From Jan 1, 2010, to his retirement on June 30, 2010, he was senior adviser of Shell Malaysia.
Currently, Saw’s other directorships in public companies include RHB Investment Bank Bhd, Digi.Com Bhd, Phoenix Petroleum (M) Bhd, Ranhill Holdings Bhd and Heineken Malaysia Bhd.
He also serves as the co-chairman of the Government’s Public-Private Sector Special Task Force on Facilitating Business (Pemudah).
Tan Sri Ong Leong Huat @ Wong Joo Hwa would be retaining his seat as the non-independent non-executive director, which he has held since 2012.
He was previously a director of Bursa Malaysia Bhd (from 2008 to 2015) and was a member of Bursa Malaysia’s Securities Market Consultative Panel.
He also headed OSK Investment Bank Bhd (now known as OSK Investment Bank Sdn Bhd) as the MD and CEO from July 1985 to January 2007, and thereafter was appointed as the group MD and CEO.
He was then redesignated as a non-independent non-executive director and subsequently resigned in April 2013.
Ong’s other directorships in public companies include RHB Investment Bank Bhd, OSK Holdings Bhd and PJ Development Holdings Bhd.
Datuk Khairussaleh Ramli will lead the bank as the MD. He was appointed as group MD and group CEO of RHB Banking Group in May last year.
His experience earned him the “Best chief financial officer in Malaysia Award” in 2010 and 2011 from Finance Asia. He is also a trustee of the RHB Foundation.
Other board members are Ong Seng Pheow (also chairman of the board audit committee), Abdul Aziz Peru Mohamed, Mohamed Ali Ismaeil Ali AlFahim, Chin Yoong Kheong, Datuk Seri Syed Zainal Abidin Syed Mohamed Tahir and Datuk Abdul Rahman Ahmad as independent non-executive director.
