Consortium Zenith boss a step closer to an MGO for Voir shares

KUALA LUMPUR: Vista Lestari Development Sdn Bhd, an investment holding company controlled by Datuk Zarul Ahmad Zulkifli, has signed a conditional agreement to buy 50.71% equity interest and 33.5 million warrants in Voir Holdings Bhd for RM36.48mil.

The fashion retailer told Bursa Malaysia that Vista Lestari would have to make a mandatory general offer for the remaining shares and warrants at 50 sen per share and 9 sen per warrant after the conditions precedent had been fulfilled.

The offer price is much lower than Voir’s closing price on Tuesday of 77 sen, which was up 1.5 sen from the previous day.

Voir noted that Vista Lestari, which bought the shares from Marvellous Future Sdn Bhd, planned to maintain the listing status of Voir on the Main Market.

Vista Lestari’s subsidiaries include Consortium Zenith BUCG Sdn Bhd which was awarded the RM6.3bil contract to build an undersea tunnel linking the Penang island and the mainland, plus three intra-island expressways.

The Voir group has more than 15 fashion brands, including Voir, Soda and Applemints.
