MUH executive chairman files police report


KUALA LUMPUR: Multi-Usage Holdings Bhd (MUH) executive chairman Ang Kim Cheng @ Ang Teng Kok has lodged a police report on the submission of unauthorised documents to the Companies Commission of Malaysia (CCM) and the unauthorised use of the company’s letterhead.

In a statement to Bursa Malaysia, the property developer said its company secretaries received two letters dated Dec 22, 2016, which were printed under the MUH letterhead, allegedly from non-executive director Tan Chew Hua.

According to MUH, the letters said Loh Seong Yew and others were given the authority to conduct a statutory audit on MUH at its registered office and that the company secretaries’ services were being terminated.

Ang also claimed some documents were lodged with CCM, including a covering letter duly acknowledged receipt by CCM reflecting the submission of Form 48A, Form 49 and minutes of board of directors’ meeting.

MUH noted that Tan was suspended from performing his duties as a director for two months effective Nov 28, 2016.

“Therefore, he does not have the rights to execute any letters under the letterhead of the company legally. Tan has no power to conduct a statutory audit and terminate the company secretaries from performing their duties,” it continued.

On Monday, MUH had received an originating summons filed in the Penang High Court by Tan and Khoo Yik Chou against Ang, executive director Ang Hwei Chyn (Ang Kim Cheng’s son), and MUH, seeking (among others) a declaration that the two Ang family members were no longer MUH directors following the end of the company’s AGM on Dec 21, 2016.

The court has fixed Jan 26 to hear the application of the plaintiffs.

Ang and Tan are both substantial shareholders of MUH with indirect stake of 29.45% and 27.2% respectively as at Oct 19 last year.

In a separate statement to the exchange, MUH said the group had decided to cease all business activities for trading of ready mixed concrete and building materials.

The company said its loss-making unit Multi-Mix Sdn Bhd had stopped its trading operations and this would involve the closure of the ready mixed concrete batching plant.

The assets of Multi-Mix Sdn Bhd, it said, would be disposed of at the later stage.
